Terms of Service

These Terms of Service ("Terms") govern access to and use of PtahCast (the "Service"), operated by Theo van Stratum ("PtahCast," "we," "us," or "our"). By creating an account, starting a trial, or otherwise using the Service, you ("you," "your," or "Customer") agree to these Terms on behalf of yourself and, if you're signing up for an organization, on behalf of that organization. If you don't agree, don't use the Service.
PtahCast is built for business use by agencies, dev shops, and outsourcing firms. It is not directed at, and is not intended for use by, individual consumers.
1. What PtahCast Is
PtahCast is a multi-tenant, subscription-based software service that helps agencies forecast client delivery dates using Monte Carlo simulation against a team's own throughput history, and share those forecasts with their clients through a branded report, a client login portal, or an emailed link. It also includes a Kanban board, flow metrics, and an accountability log for tracking forecast history against actual outcomes.
Each customer ("Tenant," "Agency," or "you") signs up on its own behalf. Within a Tenant's account, the Agency may set up one or more isolated Client workspaces representing its own customers. PtahCast does not merge, share, or compare data across different Tenants.
2. Accounts
Agency team accounts. Team members you invite to your Tenant log in with an email and password. You're responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for everything that happens under your account, including actions taken by team members you've invited.
Client portal accounts. If you choose to give your own clients access to a report through the client portal, those client-side users log in via a one-time emailed link rather than a password. You're responsible for who you invite into your client portal and for making sure you have the right to share the information that portal shows them.
You must provide accurate information when creating an account and keep it up to date. You're responsible for promptly removing access for any team member or client who should no longer have it.
3. Subscription Plans, Trials, and Billing
PtahCast is offered on tiered subscription plans priced by number of active client engagements, as described on our pricing page. New Tenants receive a 30-day trial with full access before billing begins.
At present, billing is handled outside the app: we invoice you directly for your subscription fee based on your plan tier, and payment is made by bank transfer or another method we agree on. We may change this billing process (for example, to add in-app card payment) at any time, and we'll give you reasonable notice before doing so.
If an invoice isn't paid, we may suspend or deactivate your account after reasonable notice. Reactivation may require settling any outstanding balance. Fees are quoted in US dollars and, except where required by law or expressly stated otherwise, are non-refundable once a billing period has begun — including if you cancel partway through a period. Any taxes applicable to your subscription (for example, Philippine VAT for domestic customers) are your responsibility in addition to the quoted fee, unless our invoice states otherwise.
We may change our prices for future billing periods; we'll give you advance notice before a price change takes effect on your account.
4. Cancellation and Suspension
You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of your current billing period unless we agree otherwise. We may suspend or terminate your access to the Service, with notice where reasonably practical, if: fees remain unpaid after notice; you materially breach these Terms; your use of the Service creates a security or legal risk to us or to other customers; or we reasonably believe your account is being used fraudulently or abusively.
If your account is suspended or terminated, your clients' access to any client-facing reports or portal logins tied to that account will also stop working. It's your responsibility to communicate with your own clients about that if it happens.
5. Your Data and Content
"Customer Data" means the information you and your team put into PtahCast — tickets, boards, throughput history, forecasts, notes, file attachments, and any information about your own clients that you choose to enter (names, contact details, or anything else). As between you and us, you own your Customer Data. We don't claim ownership of it, and we don't use it to train models, sell it, or share it with other Tenants.
We process Customer Data on your behalf to provide the Service — running forecasts, rendering reports, sending the emails you trigger, and so on. See our Privacy Policy for how we handle personal data, including data about your own clients that you enter into the system.
You're responsible for having the right to enter any personal data about your own clients or team into PtahCast, and for complying with whatever privacy or data-protection obligations apply to you as the party collecting that data in the first place — PtahCast acts as a processor of that data on your instructions, not as the party that decided to collect it.
You may export your Customer Data at any time while your account is active. After termination or cancellation, we retain Customer Data for a limited period (see our Privacy Policy) in case you want it back, after which it may be deleted.
6. Forecasts Are Estimates, Not Guarantees
This is the single most important thing to understand about what you're buying: PtahCast's forecasts, confidence levels, and delivery-date ranges are statistical estimates generated by simulation against historical or estimated throughput data. They are not promises, guarantees, or commitments of any kind, from us or about any project's actual outcome.
A forecast is only as good as the data behind it, and even a forecast built on solid data describes a range of likely outcomes, not a certainty. You are solely responsible for any date, commitment, or representation you make to your own clients — whether or not it's informed by a PtahCast forecast. We are not a party to, and accept no liability arising from, any agreement, SOW, or promise between you and your clients.
7. Acceptable Use
You agree not to: use the Service for anything unlawful; attempt to access another Tenant's data or bypass the isolation between Tenants or Clients; probe, scan, or test the Service's security without our written permission; reverse-engineer or attempt to extract the Service's source code except as permitted by law; use the Service to build a competing product; introduce malware or attempt to disrupt the Service's availability; or resell or sublicense the Service to third parties except through our white-label program described below.
8. White-Label / Reseller Use
Tenants on our white-label tier may present the Service under their own branding to their own clients, without PtahCast's branding visible on client-facing surfaces. If you use white-label mode, you're solely responsible for your own agreements with your clients — we are not a party to those agreements, and nothing in this section makes us liable for representations you make to your clients about the Service.
9. Intellectual Property
PtahCast, its software, design, and branding are owned by us and protected by applicable intellectual property laws. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes and to serve your own clients. This license ends when your subscription ends.
If you send us feedback, suggestions, or feature requests, you agree we can use them to improve the Service without any obligation or payment to you.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or completely secure. We work to keep the Service reliable, but we don't promise it will never go down or lose data, and you should maintain your own backups of anything critical.
11. Limitation of Liability
To the maximum extent permitted by law: neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to the Service will not exceed the total fees you paid us in the twelve (12) months before the claim arose.
Nothing in this section limits liability that can't be limited under applicable law.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from: your Customer Data; your breach of these Terms; your violation of any law or of a third party's rights (including your own clients' rights) in connection with your use of the Service; or representations you make to your clients about the Service or its forecasts.
13. Changes to the Service or These Terms
We may update the Service over time, including adding, changing, or removing features. We may also update these Terms; if a change is material, we'll give you reasonable notice (for example, by email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
14. Termination
Either party may terminate this agreement as described in Section 4. Sections of these Terms that by their nature should survive termination — including Sections 5 (as to data retention/deletion), 6, 9, 10, 11, and 12 — will survive.
15. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Philippines, unless applicable law requires otherwise.
16. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on this subject. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
